InstaNote End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is a binding contract between you ("End-User" or "you") and Jongwon Kim. ("Developer", "we", "us", or "our"). By installing, accessing, or using our application, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install, access, or use the application.
1. Acknowledgement
You and InstaNote acknowledge that this EULA is concluded between you and InstaNote only, and not with Apple, Inc. ("Apple"). InstaNote, not Apple, is solely responsible for the Licensed Application (InstaNote) and its content. This EULA does not provide for usage rules for the Licensed Application that conflict with the Apple Media Services Terms and Conditions.
2. Scope of License
The license granted to you for InstaNote is limited to a non-transferable license to use the application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. This Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
3. Maintenance and Support
InstaNote is solely responsible for providing maintenance and support services for the Licensed Application. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to InstaNote.
4. Warranty
InstaNote is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be InstaNote's sole responsibility.
5. Product Claims
InstaNote and you acknowledge that InstaNote, not Apple, is responsible for addressing any claims relating to the Licensed Application or your possession and/or use of that Licensed Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation, including in connection with InstaNote's use of the HealthKit and HomeKit frameworks. This EULA does not limit InstaNote's liability to you beyond what is permitted by applicable law.
6. Intellectual Property Rights
In the event of any third party claim that the Licensed Application or your possession and use of that Licensed Application infringes that third party's intellectual property rights, InstaNote, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
7. Legal Compliance
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Third Party Terms of Agreement
You must comply with applicable third party terms of agreement when using InstaNote (e.g., you must not be in violation of your wireless data service agreement when using the application).
10. Third Party Beneficiary
You and InstaNote acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce the EULA against you as a third party beneficiary thereof.
11. Description of Service
InstaNote is an iOS application designed to capture and transcribe spoken thoughts, ideas, and memos. We offer both free and premium subscription options with varying features, including AI-powered transcription and text optimization.
12. Subscription Information
InstaNote offers auto-renewable subscriptions with the following details:
- Title of subscription: InstaNote Premium
- Length of subscription: Monthly (1 month), Quarterly (3 months), Yearly (12 months)
- Price of subscription: Monthly: $6.99, Quarterly: $18.99, Yearly: $59.99
- What users get: 900 credits refreshed monthly (1 credit = 1 minute of recording or 1 enhancement request), AI-powered transcription and note enhancement, Cloud storage for transcriptions, Priority customer support
Subscriptions automatically renew unless auto-renew is turned off at least 24-hours before the end of the current period. You can manage and turn off auto-renewal in your Apple ID account settings. Payment will be charged to your Apple ID account at confirmation of purchase.
13. Privacy Policy
Our Privacy Policy, available at https://instanote.sanoji.com/privacy, describes how we collect, use, and share your personal information. By using InstaNote, you agree to our Privacy Policy.
14. Changes to EULA
We reserve the right to modify or replace this EULA at any time. We will provide notice of any significant changes by posting the new EULA on this page, sending you an email, or providing a notification within the app.
15. Governing Law
This EULA shall be governed by and construed in accordance with the laws of Republic of Korea, without regard to its conflict of law provisions.
